Notice of Surfing Victoria Annual General Meeting

On behalf of Surfing Victoria’s Board, we would like to extend an invitation to Members to attend the 2026 Surfing Victoria Annual General Meeting.

Pursuant to rule 19.4 of the Constitution, the Constitution of Surfing Victoria be amended by inserting the following new rule 11.3.4 immediately after rule 11.3.3:

11.3.4 Aboriginal and Torres Strait Islander representation

11.3.4.1. If none of the Interested Directors is an Aboriginal or Torres Strait    Islander person, the Board will take reasonable steps, when appointing Independent Directors to seek to ensure that at least one of the up to three Independent Directors is an Aboriginal or Torres Strait Islander person.

11.3.4.2. Those steps will include actively seeking and encouraging suitably qualified Aboriginal or Torres Strait Islander candidates for appointment, including when filling a casual vacancy in an Independent Director position under rule 11.4.3.

11.3.4.3. If no Directors are an Aboriginal or Torres Strait Islander person, the Board will, at least annually, review and record steps taken to achieve the objective in rule 11.3.4.1 and will appoint an Aboriginal or Torres Strait Islander person to Board meetings when appropriate.

To pass, the Special Resolution requires at least three-quarters of the votes cast by Members entitled to vote at the General Meeting to be in favour.

PROXY
A Member may appoint another Member as his or her Proxy to vote and speak on his or her behalf at the Annual General Meeting.

No Member may exercise more than one proxy on behalf of another Member at a General Meeting.

The appointment of a Proxy must be in the form (download here) and lodged with Surfing Victoria via info@surfingvic.com at least 48 hours before the commencement of the Annual General Meeting.

ELECTION OF BOARD MEMBERS
Nominations for Board Members must be made in writing in the form (download here) and signed by two Members and accompanied by the written consent of the nominee. The Nomination must be received by Surfing Victoria at least 14 days before the Annual General Meeting.
